Exclusive negotiations are now underway between Warner Bros Discovery and the streaming behemoth for a blockbuster acquisition of its core studio and streaming operations, a move that could dramatically alter the entertainment industry landscape.
An Intense Competition
The leading streamer is reportedly competing against other major players like a rival studio and the cable giant, the owner of Universal Studios and Sky, for control of the legendary Warner Bros studio, the prestigious HBO network, and the HBO Max streaming platform.
Sources indicate Netflix has offered a hefty termination penalty of £3.7 billion should the deal fail to secure necessary regulatory approval in the US.
The Offer Details
With Warner Bros Discovery shares sitting around about $24, its total market valuation is estimated at roughly $60 billion. It is believed the bid on the table is between $28 to $30 per share, which suggests a total bid value in the neighborhood of $70 billion to $75 billion.
Analysts have warned that this consolidation could trigger major competition issues, as it would combine two of the most dominant subscription platforms in the American market.
Assurances and Strategic Moves
In its proposal, Netflix has provided guarantees that the Warner Bros film studio, home to iconic series like Harry Potter and Batman, would retain wide theatrical releases.
Before a final agreement, the company is planning to finalize a planned spin-off of its cable television channels, which include CNN, TBS, and TNT.
An Entertainment Powerhouse
Should the deal proceed, Netflix would become the owner of HBO, the maker of award-winning shows including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an vast library of beloved TV series.
The studio formally initiated its auction last fall after attracting overtures by multiple suitors.
Industry Concerns
This prospective deal has not been without concern. Esteemed director James Cameron, director of Titanic and the Avatar series, stated this week that a sale to Netflix could lead to a "catastrophic loss of enduring worth" for the creative sector.
At first, Paramount Skydance was viewed as the leading candidate. It had similarly proposed a $5 billion termination fee contingent on approval issues.
Allegations of an Uneven Playing Field
This week, Paramount contended formally that its offer was the most likely to gain regulatory clearance. Additionally, the studio alleged Warner Bros of conducting an "biased sales process" that unduly benefited Netflix, labeling it "compromised" in official documents.
Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the ongoing negotiations.
